Company Registration in Ahmedabad

A certificate folder tied with red ribbon, a company stamp, signed incorporation papers, a pen and office keys on a desk

Incorporation is the first step; staying compliant is the rest of the company's life. Soni And Soni registers private limited companies, LLPs and one-person companies for founders and businesses in Ahmedabad and across Gujarat, sets the structure up correctly at the start, and keeps the ROC filings, registers and resolutions in order afterwards.

The ground

What you are actually dealing with

Choosing the structure

A private limited company, an LLP, a one-person company and a partnership differ in liability, in compliance burden, in how profits are taxed and in whether outside investment is possible at all. An LLP is lighter to run but cannot issue shares, so it is largely unsuited to equity funding. A private limited company carries more compliance and is what almost every investor requires. The choice is difficult to reverse cheaply, so it is worth making deliberately.

What incorporation involves

Digital signatures for each proposed director, name reservation through SPICe+ or RUN (RUN-LLP for an LLP), the memorandum and articles of association, and the SPICe+ filing itself, which also allots DINs to new directors, registers the company for PAN, TAN, EPFO and ESIC, and applies for a bank account and GST registration. The articles are the part that gets copied from a template and regretted later: they govern share transfers, board control and what happens when the founders disagree.

Registering a company in Gujarat

A company or LLP whose registered office is in Gujarat comes under the Registrar of Companies at Ahmedabad. The incorporation itself is processed online by the Ministry of Corporate Affairs' Central Registration Centre, so no office visit is needed, and stamp duty on the memorandum and articles is paid electronically within the same filing. The registered office must be a real address that can receive notices, with proof and the owner's no-objection.

Compliance does not stop at the certificate

A company must hold board meetings, maintain statutory registers, file annual returns and financial statements, disclose director interests and report significant beneficial ownership. Late filings attract additional fees that run per day, and penalties can fall on the directors as officers in default. Much of the rescue work we see is a company that incorporated and then filed nothing for three years.

Our part

How we work with you

Structure first, paperwork second. The questions worth answering before the filing are who owns what, what happens if someone leaves, and what the company intends to raise: the articles are then drafted to match those answers instead of a default.

  • 01

Articles drafted around the founders' actual arrangement, not a template.

  • 02

Founder and shareholder agreements aligned with the articles so the two cannot contradict each other.

  • 03

Annual ROC compliance diarised and filed, so directors are not exposed to per-day additional fees.

  • 04

IP assigned into the company at the outset, which is what due diligence looks for first.

How it runs

The process, stage by stage

No stage carries a promised date: name approval and incorporation depend on the Ministry of Corporate Affairs' review. What we commit to is doing our part of each stage without delay.

  1. 01

    Decide the structure

Liability, compliance, tax and funding plans are weighed, and the entity type chosen on that basis rather than by default.

  2. 02

    Prepare

Digital signatures obtained, the name reserved, and the memorandum and articles drafted around the actual arrangement between the founders.

  3. 03

    Incorporate

The SPICe+ application is filed, with PAN, TAN and the statutory registrations, through to the certificate of incorporation.

  4. 04

    Set up properly

Statutory registers opened, first board meeting held, IP assigned in, and shareholder documents executed.

  5. 05

    Keep it compliant

Annual returns, financial statements, disclosures and resolutions prepared and filed on the ROC calendar.

Common questions

Questions we are asked most often

An LLP is lighter to run and cheaper to keep compliant, but it cannot issue shares, so most investors will not invest in an LLP. If you intend to raise investment, register a private limited company.
